Terms of Service

These Terms govern your use of LabelShield. By using the service you agree to them. If you do not agree, please do not use LabelShield.

1. Acceptance

LabelShield ("the service", "we", or "us") is currently operated as an independent beta project. By creating an account or using the service, you agree to these Terms and to our Privacy Policy. If you are using LabelShield on behalf of a business, you represent that you have authority to bind that business.

2. What LabelShield is (and is not)

LabelShield is an administrative compliance pre-screening tool. It is not legal advice, not regulatory approval, and not a guarantee that any product or listing will be accepted on Amazon. LabelShield is not affiliated with Amazon or the FDA. Pass/Fail results reflect document completeness against published Amazon supplement requirements at a point in time, not product safety.

3. Accounts

You agree to provide accurate information when you sign up, to keep your credentials secure, and to notify us promptly if you believe your account has been compromised. Accounts are intended for a single human user; do not share credentials.

4. Acceptable use

When you use LabelShield, you agree not to:

  • Scrape the service or perform automated bulk uploads beyond normal product use.
  • Upload documents you do not own or are not authorized to submit.
  • Upload documents containing third-party trade secrets or confidential information you are not authorized to share.
  • Reverse engineer, decompile, or attempt to extract source code from the service.
  • Use the service to generate training data for a competing product.
  • Generate abusive load or otherwise interfere with the service or other users.
  • Use the service to violate any law or the rights of any third party.

5. Your content

You retain ownership of everything you upload. By uploading content, you grant LabelShield a limited, worldwide, royalty-free license to store, process, and analyze it solely to operate the service for you, and (during the beta, as described in our Privacy Policy) to improve our compliance engine.

This license does not include the right to sell your documents, share them with third parties for their own purposes, or use them to train AI models.

6. Credits and subscriptions

Credits are consumed upon successful report generation. If a report fails to generate due to a service error on our end, we will generally work to restore the credit to your account; if it is not restored automatically, contact us and we will make it right. Credits are otherwise non-refundable except where required by law. Subscriptions may be cancelled at any time and take effect at the end of the current billing period with no prorated refund.

7. Beta acknowledgment

LabelShield is currently in beta. Features may change or be removed without notice. AI-generated outputs can be imperfect and should be reviewed before you act on them. Pass/Fail reflects document completeness, not product safety or guaranteed marketplace acceptance.

8. Disclaimer of warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not warrant that the service will be error-free or that any specific outcome will be achieved.

9. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to your use of LabelShield is limited to the fees you actually paid to us in the twelve months before the claim arose. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits or lost revenue. These limits do not apply to claims that cannot be limited under applicable law.

10. Indemnification

You agree to defend and indemnify LabelShield against claims, damages, and costs arising from your misuse of the service, your content, or your violation of these Terms or any law.

11. Termination

You may close your account at any time. We may suspend or terminate your access for abuse, non-payment, or violation of these Terms. Termination does not refund prepaid fees (subject to Section 6).

Upon account termination or closure, your uploaded documents and generated reports may no longer be accessible. We recommend downloading any reports you wish to retain before closing your account.

12. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. You agree that any dispute arising from these Terms or your use of LabelShield will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

13. Changes

We may update these Terms as the product evolves. We will make reasonable efforts to notify you of significant changes, which may include updating the policy snapshot date or contacting you by email. Continued use of the service after a change takes effect constitutes acceptance of the updated Terms.

14. Miscellaneous

If any part of these Terms is held unenforceable, the remainder will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. These Terms, together with the Privacy Policy, are the entire agreement between you and LabelShield regarding the service.
